We operate the www.undercontrac.com website (the "Site") and the UnderContrac mobile application (the "App") (collectively, the "Platform"). UnderContrac provides software tools and digital infrastructure to help real estate developers prepare and structure their own capital raises. These tools may include automated project packaging, milestone planning, document generation, and investor-facing dashboards.
UnderContrac Inc. is not a registered broker-dealer, funding portal, investment adviser, or placement agent, and does not facilitate, solicit, or accept investments or financial transactions of any kind on behalf of developers or investors. UnderContrac does not receive transaction-based compensation, handle investor funds, or participate in the negotiation or execution of securities offerings.
All capital-raising activities are conducted solely by developers or sponsors, who are fully responsible for compliance with applicable federal and state securities laws, including but not limited to Regulation D, Regulation A, and Regulation CF. Developers using our Platform are expected to consult their own securities counsel and ensure that their offerings meet all regulatory requirements, including proper investor qualification and disclosure practices.
Investors who register on the Platform may gain access to developer-provided offering materials. This access does not constitute an offer to sell or a solicitation of an offer to buy any securities by UnderContrac. UnderContrac does not verify investor accreditation status, endorse specific projects, or provide investment advice or suitability recommendations. All investment decisions must be made independently and in consultation with licensed financial, tax, or legal advisors.
