1. Introduction

Welcome to UnderContrac Inc. (“UnderContrac,” “we,” “us,” or “our”).

UnderContrac provides a technology platform designed to standardize, analyze, and structure real estate project data for financing readiness.

By accessing or using the platform, you agree to be bound by these Terms of Service.

2. Platform Nature

UnderContrac is a technology platform only.

UnderContrac does NOT:

  • originate loans
  • provide lending services
  • make credit decisions
  • act as a broker, dealer, or intermediary
  • provide financial, legal, or investment advice

The platform operates prior to any lender’s loan origination system (LOS) and is intended solely to assist in preparing and structuring project data.

3. AI System Disclaimer

UnderContrac uses artificial intelligence to assist in analyzing real estate projects and generating structured outputs.

You acknowledge that:

  • AI outputs are probabilistic and may contain errors
  • Outputs are not guaranteed to be accurate or complete
  • Outputs do not constitute underwriting decisions
  • Outputs must not be relied upon without independent verification

All decisions remain solely your responsibility.

4. User Responsibilities

You agree that you are solely responsible for:

  • The accuracy of all data submitted
  • Verifying all AI-generated outputs
  • All financial, investment, and business decisions
  • Compliance with applicable laws and regulations

UnderContrac does not validate or guarantee any user-submitted information.

5. Financing & Lender Interactions

The platform may allow you to share project data with lenders or capital providers.

You acknowledge:

  • Any sharing is initiated by you
  • UnderContrac does not endorse any lender
  • UnderContrac does not guarantee funding
  • UnderContrac is not involved in lending decisions

All financing relationships are independent of UnderContrac.

6. Data Usage License

By submitting data to the platform, you grant UnderContrac a limited, non-exclusive license to:

  • Process and structure your data
  • Generate outputs and analysis
  • Operate and improve the platform

You retain ownership of your data.

7. Identity Verification (KYC)

UnderContrac may require identity verification at any time to comply with legal and regulatory requirements.

Failure to comply may result in restricted or terminated access.

8. Beta / MVP Disclaimer

The platform may include features that are incomplete, experimental, or subject to change without notice.

We make no guarantees regarding:

  • availability
  • performance
  • accuracy

9. Prohibited Use

You agree not to:

  • Reverse engineer or attempt to extract system logic
  • Use the platform for unlawful purposes
  • Submit false or misleading data
  • Scrape, copy, or exploit platform data
  • Circumvent regulatory safeguards

10. Limitation of Liability

To the fullest extent permitted by law, UnderContrac is not liable for:

  • Financial losses
  • Investment losses
  • Missed opportunities
  • Decisions made based on platform outputs

INCLUDING reliance on AI-generated outputs.

11. Disclaimer of Warranties

The platform is provided “as is” without warranties of any kind.

We do not guarantee:

  • accuracy
  • completeness
  • reliability
  • availability

12. Termination

We may suspend or terminate access at any time for:

  • violation of these terms
  • legal or regulatory reasons
  • misuse of the platform

13. Governing Law

These Terms are governed by the laws of the State of New Jersey.
